OVERVIEW
This website and online store, known as Wanakome Outlet (the “Store”), is operated by 17729324 Canada Inc., located at 31 Rue Dante, Montréal, Québec H2S 1J6, Canada.
Throughout these Terms of Service (“Terms”), “Wanakome Outlet,” “we,” “us” and “our” refer to 17729324 Canada Inc.
The Store is powered by Shopify.
These Terms govern both your use of the Store and purchases made through the Store in Canada and the United States.
By accessing or using the Store or placing an order, you agree to these Terms and to our Privacy Policy, Return & Refund Policy and Shipping Policy.
Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot legally be excluded, restricted or modified under applicable law.
WANAKOME BRAND AND DISTRIBUTION RELATIONSHIP
17729324 Canada Inc. is an authorized distributor of Wanakome-branded merchandise pursuant to a distribution agreement with Wanakome Inc.
17729324 Canada Inc. is the merchant and seller of record for products purchased through this Store.
The Wanakome name, trademarks, logos, product names, photographs and other brand assets appearing on the Store are used with authorization. Ownership of such intellectual property remains with Wanakome Inc. and/or the applicable rights holders.
Unless expressly stated otherwise, purchases made through this Store are transactions between the customer and 17729324 Canada Inc.
ELIGIBILITY
By using the Store or placing an order, you represent that you have the legal capacity to enter into a binding contract in your jurisdiction.
You agree to provide accurate, current and complete information when placing an order or creating an account.
Products purchased through the Store are intended for personal or household use unless otherwise agreed by us.
OUTLET MERCHANDISE
Wanakome Outlet specializes in outlet merchandise.
Products offered through the Store may include past-season merchandise, discontinued styles or colours, excess inventory, clearance merchandise and other products designated for outlet sale.
Outlet merchandise may be available only in limited quantities and may not be restocked.
Where merchandise has a known condition, characteristic or imperfection that materially affects the product, this will be disclosed where required as part of the product description.
The designation of merchandise as outlet, clearance, discounted or Final Sale does not exclude any mandatory legal warranty or consumer right that cannot legally be waived.
PRODUCT INFORMATION
We make reasonable efforts to accurately display and describe our products, including their colours, materials, measurements, construction and other characteristics.
Colours and product appearance may vary slightly depending on lighting, photography, screen settings and the device used to view the Store.
Garments may also have minor variations resulting from textile production, dyeing, washing, finishing or manufacturing processes.
Nothing in this section limits a customer’s rights where a product materially fails to conform to its description or representations made regarding the product.
FINAL SALE
Unless expressly stated otherwise, all merchandise sold through Wanakome Outlet is FINAL SALE.
Final Sale merchandise is not eligible for return, exchange, refund or store credit because of change of mind, incorrect size selection, fit preference, colour preference, style preference or similar reasons.
This Final Sale condition does not limit any right or remedy that cannot legally be excluded.
Where merchandise is defective, damaged, incorrectly supplied, materially different from its description, affected by a hidden defect or otherwise subject to a mandatory legal warranty or statutory remedy, the customer’s applicable legal rights remain unaffected.
Eligible claims, replacements and refunds are handled in accordance with our Return & Refund Policy.
ORDERS AND CONTRACT FORMATION
When you place an order, you are making an offer to purchase the products identified in your order at the prices and under the conditions presented during checkout.
Subject to applicable law, your order is accepted and the contract of sale is formed when we send you an order confirmation by email.
You are responsible for reviewing your order before submitting it, including the product, size, colour, quantity, price, currency, billing information and delivery information.
To the extent permitted by law, we may refuse a transaction involving suspected fraud, unauthorized payment, illegal activity or circumstances in which completing the transaction would violate applicable law.
Nothing in these Terms gives us a right to cancel or disregard an otherwise binding consumer contract where applicable law provides otherwise.
PRODUCT AVAILABILITY
All products are subject to availability.
Because outlet inventory may consist of limited remaining quantities, merchandise may occasionally become unavailable before inventory information displayed on the Store has been updated.
We may discontinue products or stop offering particular styles, colours or sizes at any time before a binding purchase contract has been formed.
If an availability issue affects an order after a binding contract has been formed, the matter will be handled in accordance with applicable law.
PRICES AND CURRENCY
Depending on the market or currency selected by the customer, prices may be displayed and charged in Canadian dollars (CAD) or United States dollars (USD).
The applicable currency will be displayed before checkout is completed.
Customers are responsible for confirming the applicable currency before submitting an order.
Prices may change without notice before an order is completed.
The price applicable to a completed purchase is the price presented as part of that transaction, subject to applicable law.
Applicable taxes, shipping charges, handling charges and other amounts payable as part of the transaction will be disclosed as required before checkout is completed.
Where a bank, credit card issuer or payment provider performs a currency conversion, the applicable exchange rate and any foreign transaction or conversion fees are determined by that provider and not by Wanakome Outlet.
PAYMENT
You agree to provide accurate and valid payment information and represent that you are authorized to use the payment method submitted with your order.
Transactions may be processed through Shopify Payments or other third-party payment processors.
Payments may be subject to authorization, verification and fraud-prevention procedures.
We may decline a transaction where payment cannot be authorized or where we reasonably believe a payment method is being used fraudulently or without authorization.
PROMOTIONS AND DISCOUNTS
Promotional offers, discount codes and other promotions may be subject to specific terms disclosed with the applicable promotion.
Such terms may include eligible products, minimum purchase requirements, geographical restrictions, eligibility requirements, expiry dates and restrictions on combining offers.
Unless expressly stated otherwise, promotional offers cannot be combined.
Promotions have no cash value except where otherwise required by law.
If specific promotional terms conflict with these Terms, the specific terms applicable to the promotion will govern that promotion.
SHIPPING AND DELIVERY
Orders are fulfilled by 17729324 Canada Inc. from Montréal, Québec, Canada.
Shipping rates, handling charges, processing information, estimated delivery times, U.S. customs processing, tracking, address issues, delayed shipments and lost or missing package claims are governed by our separate Shipping Policy.
Delivery estimates are estimates only unless expressly stated otherwise.
Nothing in these Terms transfers risk of loss to a consumer earlier than permitted by applicable law or limits any mandatory right relating to delivery.
Customers must follow the claim and investigation procedures set out in our Shipping Policy when reporting lost, missing or undelivered packages, subject to any rights that cannot legally be restricted.
RETURNS AND REFUNDS
Returns, replacements and refunds are governed by our separate Return & Refund Policy.
Unless otherwise expressly stated or required by applicable law, merchandise purchased through Wanakome Outlet is Final Sale.
Nothing in our Return & Refund Policy excludes or restricts a right or remedy that cannot legally be waived.
LEGAL WARRANTIES
Products purchased through the Store remain subject to legal warranties and consumer rights that apply automatically and cannot lawfully be excluded.
For consumers in Québec, applicable legal warranties include requirements relating to fitness for normal use, reasonable durability, conformity with the product description and representations made regarding the product, and protection against hidden defects.
No statement that merchandise is outlet, discounted, clearance, Final Sale, sold as-is or otherwise reduced in price is intended to exclude a mandatory legal warranty.
Nothing in these Terms reduces any mandatory consumer protection right.
ACCOUNTS
If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account to the extent permitted by applicable law.
You agree to notify us if you become aware of unauthorized use of your account.
We may suspend or restrict an account where reasonably necessary to prevent fraud, unlawful activity, abuse or security threats.
INTELLECTUAL PROPERTY
The Store and its contents, including trademarks, trade names, photographs, graphics, text, videos, product descriptions, layouts, designs, software and other material, are protected by applicable copyright, trademark and other intellectual property laws.
Wanakome trademarks and brand assets are owned by Wanakome Inc. and/or their applicable rights holders and are used by 17729324 Canada Inc. with authorization.
Access to or use of the Store does not transfer ownership of or grant you a commercial licence to any intellectual property appearing on the Store.
Without authorization from the applicable rights holder, you may not reproduce, copy, distribute, modify, publish, sell, commercially exploit, scrape or create derivative works from Store content.
REVIEWS, FEEDBACK AND SUBMISSIONS
If you voluntarily submit a product review, photograph, comment, suggestion or other content to us, you represent that you have the right to provide that content and that it does not violate the rights of another person or applicable law.
To the extent permitted by law, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, display and publish content you voluntarily submit in connection with operating, improving or promoting the Store or our products.
We may remove content that is unlawful, fraudulent, abusive, misleading, infringing or otherwise inappropriate.
Nothing in this section affects rights that cannot legally be waived.
PROHIBITED USE
You may not use the Store for any unlawful, fraudulent or malicious purpose.
You may not use the Store to infringe intellectual property or privacy rights, impersonate another person, transmit malicious software, interfere with the security or operation of the Store, obtain unauthorized access to accounts or systems, unlawfully collect personal information, circumvent security measures or engage in deceptive or abusive conduct.
You may not use automated tools, bots, spiders, scrapers or similar technologies to systematically access, copy or extract Store content without our authorization, except where such restriction is prohibited by applicable law.
We may restrict or terminate access to the Store where reasonably necessary to protect the Store, our customers, our rights or our systems.
THIRD-PARTY SERVICES AND LINKS
Certain Store features may be provided by third parties, including Shopify, payment processors, analytics providers, ecommerce applications and delivery providers.
The Store may also contain links to websites or services operated independently by third parties.
Third-party services and websites may be subject to their own terms and privacy policies.
To the extent permitted by law, we are not responsible for independent third-party services or websites that we do not control.
SHOPIFY
The Store is powered by Shopify, which provides technology and services that enable us to operate the Store.
Shopify is not the seller of merchandise purchased through Wanakome Outlet.
The contract of sale is between the customer and 17729324 Canada Inc.
Shopify and other service providers may process personal information as described in our Privacy Policy and their applicable privacy notices.
PRIVACY
Our collection, use, retention and disclosure of personal information are governed by our Privacy Policy and applicable privacy legislation.

ELECTRONIC COMMUNICATIONS
By using the Store or making a purchase, you agree that communications relating to your transaction may be provided electronically, including order confirmations, receipts, shipping notifications and customer-service communications.
Marketing communications are subject to separate consent requirements and applicable law.
ERRORS, INACCURACIES AND CORRECTIONS
The Store may occasionally contain typographical, technical or other errors relating to product descriptions, prices, promotions, availability or other information.
We may correct errors and update information when discovered.

Subject to applicable law, we do not guarantee that the website will always operate uninterrupted, securely or without technical errors.
We may temporarily restrict or suspend access to all or part of the Store for maintenance, security, technical or operational reasons.
DISCLAIMER
Except for warranties, obligations and rights that cannot legally be excluded, the Store and its website functionality are provided on an “as available” basis.
We do not make any warranty that access to the website itself will always be uninterrupted or error-free.
This disclaimer applies only to the maximum extent permitted by applicable law and does not exclude or limit mandatory warranties applying to merchandise purchased through the Store.
LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, 17729324 Canada Inc. will not be liable for indirect, incidental, special, punitive or consequential damages arising solely from use of or inability to access the Store.
Nothing in these Terms excludes or limits any mandatory consumer right or remedy, liability that cannot legally be excluded or limited, or any obligation imposed by applicable consumer protection legislation.
Any exclusion or limitation prohibited by applicable law will apply only to the maximum extent legally permitted.
INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless 17729324 Canada Inc. from third-party claims, losses or liabilities arising directly from your fraudulent or unlawful use of the Store, your infringement of another person’s rights or your material violation of these Terms.
This section does not impose liability on a consumer where doing so would be prohibited by applicable law.
EVENTS OUTSIDE OUR CONTROL
We are not responsible for failure or delay in performing an obligation where and to the extent that the failure or delay results from circumstances outside our reasonable control, subject to any rights or remedies available to consumers under applicable law.
Such circumstances may include carrier disruptions, customs delays, severe weather, natural disasters, governmental actions, labour disruptions, infrastructure failures and other events outside our reasonable control.
CONSUMER RIGHTS
These Terms must be interpreted consistently with applicable consumer protection legislation.
Where any provision of these Terms conflicts with a mandatory provision of applicable law, the mandatory provision will prevail and the remainder of these Terms will continue to apply.
Consumers in the United States may also have rights under applicable federal and state consumer protection laws that cannot be waived by these Terms.
GOVERNING LAW
Subject to any mandatory rights, protections or jurisdiction available to a consumer under applicable law, these Terms and transactions with 17729324 Canada Inc. are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein.
Nothing in these Terms deprives a consumer of any protection, jurisdiction or remedy that cannot legally be waived.
LANGUAGE
A French-language version of these Terms is made available in accordance with applicable Québec language requirements.
Where required by law, the French version will be made available before a customer elects to enter into an agreement in English.
After having been provided with access to the French version, the parties expressly agree, where permitted by law, that these Terms and related documents may be drawn up in English.
Les parties conviennent expressément, après avoir eu accès à la version française lorsque la loi l’exige et dans la mesure permise par la loi, que les présentes modalités et les documents qui s’y rattachent puissent être rédigés en anglais.
CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes to our Store, business practices or legal obligations.
The version applicable to a purchase is the version in effect when the relevant contract is concluded, unless applicable law provides otherwise.
Changes to these Terms will not retroactively remove rights that have already accrued under a completed transaction.
The current version and its effective date will be published on this page.
SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be limited or severed only to the extent necessary.
The remaining provisions will continue in effect.
NO WAIVER
Our failure to enforce a provision of these Terms on one occasion does not constitute a waiver of that provision or of our right to enforce it later.
ASSIGNMENT
You may not assign your rights or obligations under these Terms except where permitted by applicable law or with our written consent.
We may assign our rights and obligations in connection with a legitimate corporate transaction, sale, restructuring or transfer of the Store, subject to applicable law and without reducing any consumer rights that have already accrued.
ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, Return & Refund Policy, Shipping Policy and any transaction-specific terms presented to you before purchase, constitute the agreement governing your use of the Store and purchases through Wanakome Outlet, subject to applicable mandatory law.
